These Terms of Service (the “Terms”) form a binding agreement between you (“Customer”, “you”) and Social Tycoon (“we”, “us”) governing your access to and use of our platform, websites, admin console, APIs and native mobile applications (collectively, the “Service”). By creating an account or using the Service, you agree to these Terms.
01The Service
The Service is a white-label software-as-a-service platform that enables you to configure, brand and operate your own social network across web and native mobile applications, including admin tooling, hosting, and related features. We may update, improve or modify features from time to time.
02Accounts & eligibility
You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information and for all activity under your account. Keep your credentials secure and notify us promptly of any unauthorized use.
03Customer content & ownership
You and your end users retain all rights to the content created on your network (“Customer Content”). You grant us a limited license to host, process and transmit Customer Content solely to provide the Service. You are responsible for Customer Content and for the conduct of your end users, including obtaining all necessary rights and consents.
04Acceptable use
Your use of the Service, and your end users’ use of your network, must comply with our Acceptable Use Policy. We may suspend or remove content or accounts that violate it.
05Fees, billing & trials
Paid plans are billed in advance on a monthly or annual basis. Free trials convert to paid plans unless cancelled before the trial ends. Fees are non-refundable except as required by law or expressly stated. We may change pricing with prior notice effective at your next renewal. You are responsible for applicable taxes.
06Intellectual property
We and our licensors own all rights in the Service, including software, design and trademarks. Except for the rights expressly granted to you, no rights are transferred. You may not copy, reverse engineer, resell or create derivative works of the Service except as permitted by law.
07Third-party services
The Service integrates with third parties such as app stores (Apple App Store, Google Play), payment processors and analytics providers. Your use of those services is subject to their terms, and we are not responsible for them. App store distribution may require your own developer accounts and compliance with store policies.
08Suspension & termination
You may cancel at any time. We may suspend or terminate the Service for material breach, non-payment, or to comply with law. Upon termination, your right to use the Service ends; you may export your data for a limited period as described in our Privacy Policy and DPA.
09Disclaimers
The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, except as set out in our SLA.
10Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special or consequential damages, or loss of profits or data. Our aggregate liability arising out of these Terms will not exceed the amounts you paid us in the twelve months preceding the claim.
11Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Content, your network, or your breach of these Terms, except to the extent caused by us.
12Governing law & disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules. The courts located in San Francisco County, California will have exclusive jurisdiction, unless mandatory local law provides otherwise.
13Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance.
